Terms and Conditions

1. Introduction

Welcome to Trustoppy, SUARL. These Terms and Conditions govern the use of our services, including consulting, Agile coaching, and digital transformation services. By engaging with our services, you acknowledge and accept the terms outlined herein. This agreement is binding between you (the “Client”) and Trustoppy, SUARL (the “Provider”).

2. Company Information

Trustoppy, SUARL is a registered consulting company in Tunisia. Our registered office is located at:
Bloc A, 3rd Floor, Office A1, Immeuble Henda, 10 rue l’île de Rhodes, 1053 Les Berges du Lac 2, Tunis, Tunisia.
We are legally registered under Tunisian law as a Société Unipersonnelle à Responsabilité Limitée (SUARL) with a registered capital of 1000 TND.

Oussama Ben Alaya is the managing director and is responsible for the protection of personal data.

3. Scope of Services

Trustoppy provides consulting and coaching services aimed at facilitating Agile transformation within organizations. Our offerings include, but are not limited to, team coaching, leadership coaching, Agile workshops, Agile adoption strategy, and training sessions. Please note that the success and outcomes of our services are contingent on the Client’s full engagement and the active participation of all relevant teams and stakeholders. While we employ proven methodologies and industry standards to support Agile adoption, we do not guarantee specific results.

4. Payments and Fees

Trustoppy accepts the following methods for payment:

Credit/Debit Card Payments:
We also process payments via secure payment links provided by Konnect. When you receive an invoice, you will be given a secure link that allows you to pay using Visa, MasterCard, or E-Dinar.

5. Payment Terms

All payments are due upon receipt of the invoice and must be completed within either 15 or 30 days (net 15 or net 30), as agreed. Late payments will incur an interest charge of 2% per month until the invoice is fully paid. Trustoppy reserves the right to suspend or delay services in the event of non-payment. For international clients, additional bank fees and currency conversion rates may apply depending on the payment method.

6. Cancellation and Refund Policy

Cancellation:

• Clients must provide written notice for cancellation of services.
• If cancellation occurs 14 days or more before the scheduled start of the service, no cancellation fee will be charged.
• Cancellations made between 7 and 14 days before the service will incur a fee of 50% of the total service fee.
• Cancellations made less than 7 days before the scheduled start date will result in a charge of the full service fee.

Refunds:
If applicable, refunds will be processed within 20 working days using the same method of payment as the original transaction. Please note that any bank fees or charges incurred by Trustoppy are non-refundable.

7. Confidentiality

Both Trustoppy and the Client agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the engagement. Neither party shall disclose such information to any third party without the prior written consent of the other, except as required by law.

8. Intellectual Property Rights

All materials, training content, and other intellectual property provided by Trustoppy remain the sole property of Trustoppy, SUARL. The Client is granted a non-exclusive, non-transferable license to use these materials solely for internal purposes. Unauthorized reproduction, distribution, or any other use of these materials is strictly prohibited.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Tunisia. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the Tunisian courts.

10. Termination of Services

Trustoppy reserves the right to terminate the provision of services immediately if the Client breaches any of these terms. In such an event, all outstanding fees for services rendered up to the termination date will become immediately due.

11. Limitation of Liability

Trustoppy shall not be liable for any indirect or consequential damages arising from the use of our services. Our total liability for any claim shall be limited to the amount paid by the Client for the specific service rendered.

12. Changes to Terms and Conditions

Trustoppy reserves the right to modify these Terms and Conditions at any time. Clients will be notified of any significant changes prior to their implementation. Continued use of our services after changes are made constitutes acceptance of the updated terms.

Any use of the Scrum.org trademark or related resources by Trustoppy in materials, publications, or service descriptions is strictly subject to Scrum.org's trademark and copyright guidelines.

Trustoppy makes no claims of affiliation, endorsement, certification, sponsorship, or partnership with Scrum.org.

The inclusion of the Scrum.org trademark in any Trustoppy materials does not imply endorsement or certification by Scrum.org.

All statements and opinions expressed by Trustoppy are solely those of Trustoppy and do not represent the views of Scrum.org. Our publications do not constitute an endorsement of any product, service, or viewpoint by Scrum.org.
